About these terms
These terms are an agreement between Billora (“we”, “us”) and the business that creates a Billora account (“you”). We are based in London, SW6 7RX.
By creating an account or using Billora, you accept these terms on behalf of your business. Billora is for businesses, including sole traders, and is not sold to consumers.
Our privacy policy explains how we handle personal data and forms part of these terms.
Your account
- You must be 18 or over and able to accept these terms on behalf of your business.
- Give us accurate details and keep them up to date.
- Keep your password secure. You’re responsible for activity in your account, including the actions of anyone you add to it.
- Tell us straight away at Khalidkeyse1@gmail.com if you think someone has accessed your account without permission.
Free trial, plan and billing
- Free trial: new accounts can use Billora free for the period shown when you sign up. We’ll tell you before any paid plan starts.
- Price: one plan with a monthly base fee and a charge for each person you add, as shown on our pricing page when you subscribe. Only the base fee applies if no people are added. No VAT is charged.
- Billing: plans are paid monthly in advance. If you add people part-way through a month, the additional cost is added to your next bill.
- Late payment: if a payment fails, we’ll tell you and try again. If it is not resolved within 14 days, we may pause your account until it is.
- Price changes: we’ll give you at least 30 days’ notice by email before changing your price. You can cancel before the change takes effect.
Cancelling
There’s no minimum term. You can cancel at any time, and your plan ends at the end of the month you’ve paid for. We don’t refund part-months, except where required by law.
You can request a copy of your data before you leave. After cancellation, we keep your account data for 30 days in case you change your mind. We then delete it, except for records we must retain by law.
Using Billora fairly
You agree not to:
- use Billora to break the law or send spam or misleading messages;
- upload anything harmful, such as viruses, or content you don’t have the right to use;
- attempt to access accounts or systems without permission, or test our security without written permission;
- overload, copy, resell or reverse-engineer Billora, or use automated tools to scrape it.
If you breach these restrictions, we may suspend or close your account. Where reasonable, we’ll warn you first.
Your data
The content and data you add to Billora, including customer details, quotes, invoices, photos and certificates, belong to you. You give us permission to store and process them only to provide Billora to you and keep your data secure. You’re responsible for having the right to use the data you add and for its accuracy.
Data protection
For personal data about your own customers and staff that you add to Billora, you are the controller and we are your processor. To meet UK GDPR Article 28, we agree to:
- process that data only on your documented instructions, which are these terms and how you use Billora;
- ensure that staff and contractors with access to the data are bound by confidentiality;
- keep it secure with appropriate technical and organisational measures;
- use other processors (sub-processors) only under written contracts with the same protections, and tell you before we add or replace one, so you can object;
- help you respond to people exercising their data rights, and with security, breach notifications and impact assessments where relevant;
- tell you without undue delay if we become aware of a personal data breach affecting your data;
- delete or return the data when you close your account, unless we are legally required to retain it;
- provide the information you reasonably need to demonstrate that you are meeting your own obligations, and allow reasonable audits.
Taking payments
Card and bank payments taken through Billora are handled by a third-party payment provider under its own terms. You accept those terms when you connect your account. Payments go to your account with that provider, not through us. We’re not responsible for the provider’s service, fees or decisions.
Our service
- We’ll provide Billora with reasonable skill and care, and work to keep it available and secure. Maintenance may be needed from time to time. Where possible, we’ll carry it out outside working hours and tell you in advance.
- We continually improve Billora, so features may change. If we remove an important feature you rely on, we’ll give you reasonable notice.
- Billora helps you create quotes, invoices and certificates. You remain responsible for their content and for meeting your legal, tax and trade obligations, such as Gas Safe or electrical regulations.
Intellectual property
We own Billora’s software, design, name and logo. You have a non-exclusive, non-transferable right to use Billora for your business while your account is active. If you send us feedback or ideas, we can use them freely.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can’t be limited by law.
Subject to those exceptions:
- We’re not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.
- Our total liability to you in any 12-month period is limited to the amount you paid us in the 12 months before the claim.
You’re responsible for keeping your own copies of important records. You can request a copy of your data at any time.
Ending the agreement
You can end this agreement at any time by cancelling and deleting your account. We can end it with 30 days’ notice, or immediately if you seriously breach these terms or fail to pay. When the agreement ends, your right to use Billora ends. The sections on data, liability and payment of amounts owed continue to apply.
General
- Changes to these terms: we may update these terms. If a change significantly affects you, we’ll give you at least 30 days’ notice by email before it takes effect.
- Transfer: we may transfer this agreement to another company if our business is sold or reorganised. You need our written agreement before transferring it.
- Events outside our control: we’re not responsible for delays or failures caused by events we could not reasonably control.
- Whole agreement: these terms and our privacy policy are the whole agreement between us about Billora.
- Law: these terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
